NOTICE OF SPECIAL RESOLUTION
to be moved at the upcoming general meeting of
The Industrial Relations Society of Western Australia Inc.
This is a Notice in accordance with clause 35 of the constitution of The Industrial Relations Society of Western Australia Incorporated (the IR Society) to propose a special resolution to amend the rules of the IR Society.
At the 2018 Annual General Meeting, a member of the IR Society noted the organisation’s rules may not comply with the Associations Incorporation Act 2015 (WA). That Act made a number of changes requiring entities like the IR Society to comply with a number of new financial reporting and administrative requirements by 1 July 2019.
The current constitution may not comply with the new requirements because it does not provide for procedures at meetings, some aspects of financial management do not comply, and there is no dispute resolution procedure.
The proposed new constitution is based on model rules published by the Department of Mines, Industry Regulation and Safety. The proposed new constitution addresses the deficiencies. It also clarifies the composition of the Committee. Other changes include the introduction of:
capacity for classes of membership, to be determined at a later date;
use of technology at meetings; and
the capacity to establish by-laws where required.
The proposed new constitution has been considered and is supported by all members of the current Committee. Should members have any questions, a member of the Committee will be available to discuss the proposed new constitution at the general meeting.
The Special Resolution will be:
THAT the rules of The Industrial Relations Society of Western Australia Incorporated be amended by replacing them with the Proposed New Rules referred to below.
The general meeting at which this special resolution will be considered will be convened from 5:30 pm on Thursday, 2 May 2019 at the Department of Mines, Industry Regulation and Safety 'Social area', Level 7, 140 William Street, Perth WA 6000. Meet in the lobby of the building to be brought up to Level 7. Registration is free for members and includes drinks and refreshments.
