Resolution to be proposed at the AGM to amend the rules of

The Industrial Relations Society of Western Australia Inc.

This is a Notice in accordance with clause 35 of the constitution of The Industrial Relations Society of Western Australia Incorporated (the IR Society) to propose a resolution to amend the rules of the IR Society.

At the 2018 Annual General Meeting, a member of the IR Society noted the organisation’s rules may not comply with the Associations Incorporation Act 2015 (WA). That Act made a number of changes requiring entities like the IR Society to comply with a number of new financial reporting and administrative requirements by 1 July 2019.

The current constitution may not comply with the new requirements because it does not provide for procedures at meetings, some aspects of financial management do not comply, and there is no dispute resolution procedure.

The proposed new constitution is based on model rules published by the Department of Mines, Industry Regulation and Safety. The proposed new constitution addresses the deficiencies. It also clarifies the composition of the Committee. Other changes include the introduction of:

  • proxies;

  • capacity for classes of membership, to be determined at a later date;

  • use of technology at meetings; and

  • the capacity to establish by-laws where required.

The proposed new constitution has been considered and is supported by all members of the current Committee. Should members have any questions, a member of the Committee will be available to discuss the proposed new constitution at the AGM.

The general meeting at which the adoption of this constitution will be considered will be convened from 5:45 pm on Thursday, 7 February 2019 at Matilda Bay Restaurant, 3 Hackett Drive, Crawley, WA 6009. Registration is free for members and includes a two course dinner.

A full copy of the proposed new constitution can be found here and should be considered by all members:
